Agent Agreement

1. Nature of Relationship

You are engaged as an independent contractor, not as an employee, partner, or agent with authority to bind Amplifiq. Nothing in this Agreement creates an employment relationship, and you are solely responsible for your own taxes, insurance, and compliance with applicable law.

2. Scope of Services

As an agent you agree to:

• Identify and submit verified client leads via the Amplifiq Agent Portal.
• Complete dynamic lead forms accurately and honestly.
• Promote Amplifiq services to potential clients using only approved materials or your own genuine communications.
• Respond to requests for clarification on your submissions within 5 business days.

3. Compensation

Amplifiq will pay the Agent a fixed fee per approved lead submission as displayed on each task at the time of submission. Payment is made to the Agent's registered M-Pesa number or bank account. Amplifiq reserves the right to withhold payment for submissions found to be fraudulent, duplicate, or in breach of this Agreement.

4. Referral Commission

Agents who refer clients via their unique referral link will earn a commission on each qualifying order placed by the referred client. The commission rate is determined by Amplifiq and displayed in the Agent Portal. Amplifiq may adjust commission rates with 14 days' written notice. Commissions are earned indefinitely unless the referred client's account is closed or the Agent's account is terminated for cause.

5. Quality Standards

Amplifiq maintains submission quality standards. An Agent whose approval rate falls below the platform minimum may have their account reviewed, demoted in tier, or suspended until quality improves. Amplifiq will provide feedback to assist improvement.

6. Confidentiality

The Agent agrees to keep confidential all non-public information about Amplifiq, its clients, pricing, and operational processes that they become aware of through use of the platform. This obligation survives termination of the Agreement.

7. Data Protection

When submitting lead data, the Agent warrants that:

• The data subject has been informed that their details will be shared with Amplifiq.
• The data has been collected lawfully and with the data subject's consent.
• No sensitive personal data (health, religion, political affiliation, etc.) has been included unless specifically required by the task.

8. Prohibited Activities

• Submitting fabricated, purchased, or non-consented lead data.
• Creating multiple accounts or using another agent's credentials.
• Making false representations about Amplifiq's services to potential clients.
• Sub-contracting your agent obligations without written consent from Amplifiq.
• Self-referrals or collusion with other agents to manipulate earnings.

9. Intellectual Property

Amplifiq grants the Agent a limited, non-exclusive, non-transferable licence to use Amplifiq branding and materials solely for the purpose of promoting Amplifiq services in good faith. The Agent acquires no ownership rights in any Amplifiq trademarks, content, or software.

10. Term & Termination

This Agreement commences on account activation and continues until terminated. Either party may terminate with 7 days' written notice. Amplifiq may terminate immediately for material breach, fraud, or conduct detrimental to Amplifiq or its clients. On termination, outstanding approved earnings will be paid within 14 business days, subject to any withholding for investigation.

11. Indemnity

The Agent agrees to indemnify Amplifiq against any claims, losses, or liabilities arising from the Agent's breach of this Agreement, including unlawful data collection or misrepresentation to potential clients.

12. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Kenya. The parties will first attempt to resolve any dispute through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration in Nairobi under the Nairobi Centre for International Arbitration (NCIA) rules.

13. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the Agent and Amplifiq regarding the subject matter herein and supersedes all prior discussions and understandings.
